These RightAsk AI Terms of Service ("Terms") constitute a legally binding agreement between you and RightAsk AI, LLC, a Delaware limited liability company ("RightAsk," "we," "our," or "us"). These Terms govern your access to and use of www.rightask.ai and any corresponding subdomains (the “Site”), including all related widgets, tools, data, software, and other products or services provided by us (collectively together with the Site, the "Platform").

BY USING THE PLATFORM OR SITE, YOU (I) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THESE TERMS; (II) REPRESENT THAT YOU ARE 18 YEARS OF AGE OR OLDER; (III) CONSENT TO COLLECTION, USE, AND SHARING OF YOUR PERSONAL INFORMATION AS DESCRIBED IN OUR PRIVACY POLICY; AND (IV) AGREE THAT YOU ARE LEGALLY BOUND BY THESE TERMS.

All personal information that you provide to us in connection with your use of the Platform and Site is collected, stored, used, and disclosed by us in accordance with our Privacy Policy located at rightask.ai/legal/privacy-policy. The Privacy Policy, as may be updated by us from time to time, is hereby incorporated into these Terms.

1.  Acceptance of Terms

By creating an account, accessing the Platform, or clicking "I Agree," you represent that: (a) you have read, understood, and agree to be bound by these Terms; (b) you are at least 18 years of age; and (c) you have the legal authority to enter into this agreement on behalf of yourself or, if applicable, the entity you represent.

These Terms incorporate by reference our Privacy Policy and any additional terms applicable to specific features that are presented to you before using such features. In the event of any conflict, these Terms control.

2.  Description of the Platform

RightAsk is an AI-powered rights management platform built for creators, influencers, NIL athletes, and intellectual property rights holders. The Platform enables users to protect, manage, and monetize their intellectual property by deploying an AI assistant that handles licensing inquiries, explains permissions, guides visitors through rights processes, captures qualified leads, and provides conversation analytics.

The Platform integrates with third-party services including Stripe, Google Drive, Dropbox, Square, DocuSign, OpenAI, and Reditus. Your use of these integrations is subject to their respective terms of service in addition to these Terms.

RightAsk reserves the right to modify, enhance, suspend, or discontinue any feature at any time, subject to the notice provisions set forth herein.

RightAsk is a technology platform that provides AI tools and technologies. We do not endorse, verify, investigate, or guarantee the accuracy, completeness, legality, or suitability of any User Content, AI outputs, third-party integrations, or any leads, conversations, or analytics generated through the Platform. You are solely responsible for independently verifying any information or outputs before relying on them. Nothing on the Platform creates any agency, partnership, or professional relationship between you and RightAsk or any other user.

3.  Eligibility & Account Registration

3.1  Eligibility

To access the Platform, you must be at least 18 years of age (or the age of majority in your jurisdiction), have the legal capacity to enter into binding contracts, not be prohibited from using the Platform under applicable laws, and not be subject to U.S. or international sanctions.

3.2  Account Registration

You must create an account to access most Platform features. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at support@rightask.ai if you suspect unauthorized access.

3.3  No Account Sharing

Account credentials are issued to individual named users and may not be shared among multiple individuals. Each person accessing the Platform must have their own account. Using a single account to provide access to multiple individuals, or sharing your account with others, is a material breach of these Terms, and may result in immediate suspension or termination of your account and access to the Platform in our sole discretion.

3.4  Organization Accounts

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In such cases, "you" refers to both you individually and the organization.

4.  Subscriptions & Payment

4.1  Subscription Plans

Access to the Platform requires an active paid subscription. By subscribing, you authorize RightAsk (through Stripe) to charge your designated payment method on a recurring basis at the applicable subscription rate.

4.2  Billing & Renewal

Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date. RightAsk reserves the right to adjust pricing with 30 days' written notice, provided that such changes will not apply mid-term to annual subscriptions already paid.

4.3  Free Trials & Promotional Plans

RightAsk may offer eligible customers a 30-day free trial of the Pro plan. A valid payment method is required to begin the trial. Unless you cancel before the trial ends, your trial will automatically convert to a paid Pro subscription, and RightAsk will charge the payment method you provided at the price and billing interval disclosed at checkout.

You may cancel before the trial ends through Account > Billing > Manage Billing, which directs you to the Stripe Customer Portal. Trial use is subject to these Terms.

4.4  Refund Policy

All paid subscription fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. Cancellation stops future billing but does not entitle you to a refund of amounts already paid. To avoid being charged for the next renewal period, you must cancel before your renewal date. Cancellation after the renewal date will not entitle you to a refund of the renewed period.

4.5  Fair Use & Rate Limiting

Even where a subscription plan is described as "unlimited," RightAsk reserves the right to throttle, limit, or suspend accounts that generate an unreasonably high volume of requests that degrade Platform performance for other users. RightAsk will make reasonable efforts to notify users prior to taking such action.

4.6  Subscription Cancellations

YOUR PAID SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.

Cancellation is free of charge. RightAsk does not impose a cancellation fee or penalty. You may cancel your paid subscription at any time through the Stripe Customer Portal.

To cancel, log in to your account, go to Account > Billing > Manage Billing, and follow the instructions in the Stripe Customer Portal. Your cancellation becomes effective when confirmed in the portal.

Timing Notice: To avoid being charged for the next billing cycle, your cancellation must be confirmed before your renewal date. Charges for a billing period that has already begun are non-refundable, except as required by law.

When you cancel, your paid membership features remain active through the last day of your current paid billing period. You will not be charged for the next period. At the end of your last paid billing period, your account is automatically downgraded.

4.7 Pay-Per-Use Features

Certain features of the Platform may be offered on a pay-per-use basis in addition to or instead of subscription plans. You will be notified of applicable per-use fees before incurring any charges. All pay-per-use fees are non-refundable except as required by applicable law.

5.  Acceptable Use Policy

5.1  Prohibited Conduct: General

• No Unauthorized Access: You may not attempt to gain unauthorized access to any portion of the Platform, other user accounts, or RightAsk's systems or networks.

• No Reverse Engineering: You may not reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Platform.

• No Unauthorized White-Labeling: You may not embed, resell, or present the Platform as your own native technology without a separate written white-label agreement.

• No Automated Scraping or Botting: You may not use unauthorized scrapers, bots, spiders, or automated scripts to interact with the Platform or extract data.

• No Malware or Destructive Code: You may not upload, transmit, or introduce viruses, ransomware, or any code designed to disrupt, damage, or gain unauthorized access to the Platform.

• No Spam or Phishing: You may not use the Platform to generate, distribute, or facilitate mass unsolicited communications, phishing campaigns, or fraudulent schemes.

• No Interference: You may not take any action that imposes an unreasonable load on the Platform's infrastructure or interferes with its proper functioning.

5.2  Prohibited Conduct: AI-Specific

• No Training Competing Models: You may not scrape, copy, or use the Platform's AI inputs, outputs, or model responses to train, fine-tune, or develop a competing AI model or machine learning algorithm.

• No High-Risk Automated Decisions: You may not use AI outputs as the sole basis for high-stakes decisions without human oversight, including medical diagnoses, legal determinations, financial, investment or tax assessments, or employment decisions.

• No Circumvention of AI Safeguards: You may not attempt to circumvent the Platform's AI safety mechanisms through prompt injection, jailbreaking, adversarial inputs, or similar techniques.

5.3  Prohibited Content - Additional

You may not use the Platform to generate, process, store, or distribute:

• Content that sexually exploits, endangers, or depicts minors in any manner

• Content that incites, glorifies, or facilitates terrorism, violent extremism, or mass violence

• Non-consensual explicit content, including synthetic media depicting real individuals without consent

• Content designed to harass, threaten, or intimidate specific individuals or groups

• Content that infringes on third-party intellectual property rights

• Disinformation or content intended to manipulate public opinion through deceptive means

5.4  Intellectual Property Inputs

You represent and warrant that you have all necessary rights, licenses, or permissions to input any content, data, or files into the Platform, and that doing so will not infringe the rights of any third party or otherwise be unlawful.

6.  Platform Disclaimers

The Platform's AI assistant is designed to assist with rights management and licensing inquiries. However, the Platform’s AI-generated outputs are inherently probabilistic and may contain errors, inaccuracies, or omissions (commonly referred to as "hallucinations").

THE PLATFORM AND ITS OUTPUTS ARE INTENDED SOLELY FOR INFORMATIONAL PURPOSES ONLY, AND NOT AS ANY FORM OF LEGAL, FINANCIAL, INVESTMENT, TAX, MEDICAL, OR ANY OTHER FORM OF ADVICE. YOU ASSUME ALL RISK RELATED TO YOUR USE OF THE PLATFORM, AND YOU ASSUME SOLE RESPONSIBILITY FOR FACT-CHECKING, VERIFYING AND INDEPENDENTLY EVALUATING ANY AI OUTPUT OR CONTENT ON THE PLATFORM BEFORE RELYING ON IT, PUBLISHING IT, OR USING IT FOR ANY PURPOSE.

Your use of the Platform or any outputs therefore shall not create an attorney-client relationship or any other professional, advisory or fiduciary relationship between you and RightAsk or any of our third-party service providers or users. RightAsk does not endorse, verify, or guarantee the accuracy, completeness, or usefulness of any AI or other outputs or content on the Platform.

7.  User Content

7.1  Ownership

You retain all ownership rights in the content, data, and intellectual property you submit, upload, or create through the Platform (“User Content”).

By submitting User Content, you grant RightAsk a limited, non-exclusive, worldwide, royalty-free license to access, host, copy, transmit, display, and otherwise process the User Content only as necessary to provide, operate, secure, and support the Platform for you, follow your instructions, and comply with applicable law. RightAsk may permit its service providers to process User Content on its behalf only for those same limited purposes.

This license ends when RightAsk no longer needs to process the User Content to provide the Platform to you, except to the limited extent continued processing is required by applicable law. RightAsk will not use User Content to train general-purpose artificial intelligence models, for advertising, or to develop products or services unrelated to the Platform without your express written consent.

You represent and warrant that you own or have all rights necessary to submit the User Content and grant this license, and that the User Content does not violate applicable law or infringe any third party’s rights.

7.2  Your Responsibility

You are solely responsible for all User Content you submit. RightAsk does not and cannot monitor all content or files uploaded. You represent and warrant that: (a) you own or have the necessary rights to the User Content; (b) the User Content does not violate these Terms or applicable law; (c) it does not contain malware or harmful code, and (d) that it will not infringe the rights of any third party.

7.3  No Obligation to Retain

RightAsk has no obligation to retain User Content beyond the periods specified in the Privacy Policy. Following account termination, RightAsk may delete User Content in accordance with its data retention practices.

8.  Intellectual Property Rights

8.1  RightAsk IP

All rights, title, and interest in and to the Platform, including but not limited to its software, design, AI models, features, content, trademarks, and documentation ("RightAsk IP"), are and shall remain the exclusive property of RightAsk AI and its licensors.

8.2  License to Use

Subject to your compliance with these Terms and payment of applicable fees, RightAsk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes, and in compliance with these Terms.

8.3  Feedback

If you provide suggestions, ideas, or feedback about the Platform, you grant RightAsk an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use and commercialize such feedback without obligation to you.

9.  Third-Party Integrations & Services

The Platform integrates with third-party services including Stripe, Google Drive, Dropbox, DocuSign, Square, OpenAI, Reditus, SendGrid, and others as updated from time to time. Your use of these integrations is subject to the respective third parties’ terms and privacy policies. RightAsk is not responsible for the availability, accuracy, security, or performance of third-party services. You assume all risk and responsibility for your use of third-party services or features available on or through the Platform.

10.  Disclaimers of Warranties

THE SITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RIGHTASK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION OR ACCESS.

11.  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIGHTASK AI, LLC AND ITS AGENTS, LICENSORS, OWNERS, MANAGERS AND STAFF SHALL NOT BE LIABLE TO YOU OR OTHERS FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE LEGAL THEORY.

RightAsk's total aggregate liability to you for all claims shall not exceed the greater of: (a) the total subscription fees paid by you in the three months preceding the claim; or (b) one hundred U.S. dollars ($100).

Some jurisdictions may not allow the limitation of liability set forth above. If applicable law does not permit the full exclusion of implied warranties, the remaining exclusions shall continue to apply to the fullest extent permitted by law.

12.  Indemnification

You agree to indemnify, defend, and hold harmless RightAsk AI, LLC and its officers, directors, employees, agents, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights; or (e) your use of the Platform’s outputs without adequate verification.

We reserve the right to assume, at your expense, the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of any claim. You will not in any event settle any claim without the prior written consent of us.

13.  Termination

13.1  Termination by You

You may cancel your subscription and close your account at any time through your account settings or by contacting support@rightask.ai. Cancellation takes effect at the end of the current billing cycle. Fees paid are non-refundable.

13.2  Termination by RightAsk

RightAsk may suspend or terminate your access immediately and without prior notice if: (a) you breach any material provision of these Terms; (b) your continued use poses a legal or reputational risk; (c) RightAsk is required to do so by law; (d) you fail to pay applicable fees; or (e) for any reason in our sole discretion.

13.3  Effect of Termination

Upon termination of your account or these Terms, your license to use the Platform immediately ceases. Sections 6, 7.1, 7.3, 8.1, 10, 11, 12, 14, and 15, and any other terms that by their nature should survive termination, shall survive termination.

14.  Dispute Resolution

14.1  Informal Resolution

Before initiating formal proceedings, you agree to first contact RightAsk at legal@rightask.ai and attempt to resolve any dispute informally. RightAsk will make reasonable efforts to respond within 30 days.

14.2  Binding Arbitration

If informal resolution fails for 30 days following your written notice, any dispute arising out of or relating to these Terms or the Platform shall be settled by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in New York, New York, conducted in English. The arbitrator's decision shall be final and binding.

EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL RIGHTS THEY MAY HAVE (INCLUDING BUT NOT LIMITED TO, THEIR CONSTITUTIONAL OR STATUTORY RIGHT) TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING FOR ANY DISPUTE, INCLUDING BUT NOT LIMITED TO DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR THE RELATIONSHIP OF THE PARTIES.‍

14.3  Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE AGREE THAT, ANY AND ALL DISPUTES (WHETHER BASED IN CONTRACT, STATUTE, TORT OR ANY OTHER THEORY) WILL BE RESOLVED INDIVIDUALLY WITHOUT RESORT TO ANY FORM OF CLASS ACTION OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION OR OTHER SIMILAR PROCEEDING.

14.4  Exceptions

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

14.5 Mass Arbitration Protocol

If 75 or more substantially similar arbitration demands are filed against RightAsk by claimants represented by the same or coordinated counsel within any 180-day period, JAMS’s Mass Arbitration Procedures and Guidelines (or the then-current equivalent) shall apply. The parties shall cooperate in good faith to select up to ten (10) representative “bellwether” cases to be arbitrated first. All other proceedings shall be stayed pending resolution of the bellwether cases.

15.  Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. To the extent that any claim is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York.

16.  Changes to These Terms

RightAsk may update these Terms at any time. For material changes, we will provide at least 30 days' written notice via email or in-platform notification, and update the effective date at the top of these Terms. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms.

17.  General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any incorporated policies or additional terms, constitute the entire agreement between you and RightAsk with respect to the Platform.

Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

Waiver. Failure to enforce any provision shall not constitute a waiver of the right to enforce it in the future.

Assignment. You may not assign your rights or obligations without RightAsk's prior written consent. RightAsk may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. RightAsk shall not be liable for failure or delay caused by circumstances beyond its reasonable control, including acts of God, cyberattacks, or third-party service outages.

Electronic Communications. We may communicate with you electronically in regard to the Platform, including by email, and we may collect information related to communications between you and us. You agree that all notices, disclosures, agreements, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that any time you electronically transact, agree, or consent via the Platform, your action is intended as an electronic signature which binds you as if you had signed on paper.

Notices. RightAsk may provide notices via email to the address associated with your account or via in-platform notification. You may contact RightAsk at support@rightask.ai.

18.  DMCA Copyright Policy

RightAsk respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that any content on the Platform infringes your copyright, please send a written notice to our designated DMCA Agent containing the following:

a)    Identification of the copyrighted work claimed to have been infringed;

b)    Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material (including URL or description);

c)     Your name, address, telephone number, and email address;

d)    A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

e)    A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and

f)      Your physical or electronic signature

We may forward the information in your notice to the person who posted the allegedly infringing material. Users who submit materially false DMCA notices may be liable for damages under 17 U.S.C. § 512(f).

Counter-Notification. If your content was removed or access disabled because of a DMCA notice and you believe the removal was mistaken, you may send a counter-notification to the DMCA Agent with the required elements under 17 U.S.C. § 512(g)(3). Upon receipt of a valid counter-notification, we will restore the material within 10–14 business days unless the complaining party files a lawsuit.

RightAsk reserves the right to terminate accounts of repeat infringers in appropriate circumstances.
